Acceptance of Terms
By accessing or using the SDS Pharma platform (the "Platform") — including visiting our website, registering an account, submitting an inquiry, listing products, or communicating through the platform — you agree to comply with and be bound by these Terms of Service and our Privacy Policy.
If you are registering on behalf of a company or business entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to both you individually and the entity you represent.
These Terms are effective as of 1st January 2025 and shall remain in effect until terminated in accordance with the provisions herein.
About the Platform & Nature of Service
SDS Pharma is a B2B pharmaceutical sourcing platform operated by SDS Pharma Sourcing, based in Vadodara, Gujarat, India. The Platform was developed from 15+ years of hands-on pharma ingredient sourcing experience.
What SDS Pharma Does
- Facilitates connections between pharmaceutical buyers and verified API/ingredient suppliers.
- Verifies supplier credentials including GMP certifications, regulatory approvals, and product documentation.
- Manages the listing and discovery of Active Pharmaceutical Ingredients (APIs), Key Starting Materials (KSMs), Intermediates, Excipients, Fine Chemicals, and related materials.
- Assists with documentation including COA, MSDS, DMF requests, and packing lists.
- Provides sourcing advisory, price negotiation support, and sample procurement assistance.
Account Registration
3.1 Eligibility
To register on the SDS Pharma platform, you must be:
- At least 18 years of age.
- A duly registered business entity or sole proprietor in India or any other country where pharmaceutical trading is legally permitted.
- Not prohibited from using the platform by any applicable law, regulation, or previous SDS Pharma ban.
3.2 Account Types
Buyer Account: For pharma manufacturers, formulation companies, trading companies, hospitals, research institutions, and individuals who wish to source pharmaceutical ingredients through the platform.
Seller Account: For API manufacturers, chemical suppliers, trading companies, and distributors who wish to list and offer pharmaceutical raw materials to buyers. All seller accounts are subject to review and approval by the SDS Pharma team before activation.
3.3 Account Accuracy
You agree to provide accurate, complete, and current information during registration and to keep your account information updated at all times. You are solely responsible for all activity that occurs under your account.
3.4 Account Security
You are responsible for maintaining the confidentiality of your password and for restricting access to your account. You must notify SDS Pharma immediately at info@sdspharma.com if you suspect any unauthorised use of your account.
Seller Obligations
By registering as a seller on the SDS Pharma platform, you agree to the following obligations:
4.1 Accuracy of Information
- All company information, certifications, addresses, and contact details submitted during registration must be accurate and verifiable.
- Product listings must accurately describe the product including CAS number, molecular formula, specifications, purity, available quantity, and pricing.
- Certifications claimed (GMP, ISO, FDA, etc.) must be valid and current. Expired or revoked certifications must be removed or updated immediately.
4.2 Documentation
- You must be able to provide a Certificate of Analysis (COA), Material Safety Data Sheet (MSDS), and other requested regulatory documents for any product listed on the platform upon buyer request.
- Drug Master File (DMF) details, where applicable, must be accurately disclosed.
- You must not submit falsified, altered, or forged documentation of any kind.
4.3 Quality & Compliance
- Products offered must meet the quality standards claimed in listings and must comply with applicable Indian and international pharmaceutical regulations.
- Sellers must maintain their GMP and other regulatory certifications in good standing throughout their time on the platform.
- Sellers must promptly notify SDS Pharma of any regulatory actions, recalls, or quality incidents that affect listed products.
4.4 Communication
- Sellers must respond to buyer inquiries received through the platform within a reasonable time (recommended: within 2 business days).
- Sellers must not redirect buyers off the platform during the initial inquiry phase to circumvent the platform relationship.
Buyer Obligations
By registering as a buyer on the SDS Pharma platform, you agree to:
- Provide accurate information about your organisation, intended use of products, and purchasing requirements when submitting inquiries.
- Use the platform only for legitimate pharmaceutical business purposes. The platform is not intended for personal use or non-pharmaceutical applications.
- Conduct your own due diligence on sellers and products before finalising any purchase. SDS Pharma's verification assists but does not replace your own quality assurance process.
- Comply with all applicable import, export, pharmaceutical licensing, and regulatory requirements in your jurisdiction.
- Not misuse seller contact information obtained through the platform for purposes unrelated to legitimate pharmaceutical sourcing.
- Pay any agreed amounts directly to sellers in accordance with mutually agreed commercial terms. SDS Pharma is not responsible for payment disputes.
Prohibited Activities
The following activities are strictly prohibited on the SDS Pharma platform. Violation may result in immediate account suspension and legal action:
- Listing, offering, or sourcing controlled substances, narcotic drugs, or psychotropic substances without the required licences and approvals under the Narcotic Drugs and Psychotropic Substances (NDPS) Act, 1985 or equivalent laws.
- Submitting false, misleading, or fraudulent company information, product details, certifications, or documentation.
- Impersonating another company, brand, regulatory body, or individual.
- Attempting to circumvent the platform by approaching buyers/sellers found through SDS Pharma for transactions that deliberately exclude SDS Pharma.
- Uploading or transmitting viruses, malware, or any harmful code to the platform.
- Scraping, data-mining, or systematically extracting data from the platform using automated tools.
- Using the platform to send spam, unsolicited communications, or promotional material unrelated to legitimate pharma sourcing.
- Engaging in any activity that violates Indian law, including the Drugs and Cosmetics Act, 1940, FSSAI regulations, Foreign Trade Policy, or GST regulations.
- Attempting unauthorised access to other users' accounts or the platform's administrative systems.
Product Listings & Content
Sellers are solely responsible for the accuracy and legality of the content they submit to the platform, including product listings, images, descriptions, and documentation.
SDS Pharma reserves the right to review, modify, reject, or remove any product listing that:
- Contains inaccurate, misleading, or incomplete information.
- Relates to a product that cannot be legally sold or traded in India or the target market.
- Does not meet the quality or documentation standards required by the platform.
- Is associated with a seller whose approval has been suspended or revoked.
Removal of a listing does not constitute a waiver of any claims SDS Pharma may have against the seller for prior violations.
Inquiries, Quotations & Transactions
The SDS Pharma platform facilitates the introduction between buyers and sellers. When a buyer submits an inquiry:
- The inquiry is shared with relevant verified sellers on the platform or reviewed by the SDS Pharma sourcing team.
- Sellers respond with product availability, pricing, and delivery terms directly or through the platform.
- Any quotation, purchase order, or supply agreement is formed directly between the buyer and the seller. SDS Pharma is not a party to such agreements.
Payment: All payments for products are made directly between buyers and sellers according to mutually agreed terms. SDS Pharma does not currently process, hold, or facilitate payments between parties. Disputes arising from payments are to be resolved directly between buyers and sellers.
Sampling: Sample requests facilitated through the platform are subject to the seller's sampling policies. Charges for samples, if any, are agreed directly with the seller.
Platform Disclaimers
9.1 No Guarantee of Transactions
SDS Pharma does not guarantee that any buyer inquiry will result in a successful supply agreement, or that any seller will respond to an inquiry. The platform facilitates introductions; it does not guarantee business outcomes.
9.2 Verification Limitations
While SDS Pharma verifies seller information and credentials to the best of its ability using a 15-year industry network and document review process, we do not provide an absolute guarantee of the quality, purity, or regulatory compliance of any product listed on the platform. Buyers must conduct their own quality assurance and due diligence before purchasing.
9.3 Platform Availability
SDS Pharma does not warrant that the platform will be available at all times without interruption. We may perform maintenance, upgrades, or experience technical issues. We will endeavour to minimise downtime and provide advance notice where possible.
9.4 Third-Party Content
Product descriptions, certifications, and documents uploaded by sellers are third-party content. SDS Pharma is not responsible for the accuracy of seller-submitted content beyond what our review process is able to verify.
Intellectual Property
The SDS Pharma name, logo, website design, platform architecture, content (excluding seller-submitted content), and all associated intellectual property are owned by SDS Pharma Sourcing. You may not use, copy, reproduce, or redistribute any SDS Pharma-owned content without prior written permission.
Sellers retain ownership of their submitted product information, company profiles, and documentation. By submitting content to the platform, you grant SDS Pharma a non-exclusive, royalty-free licence to display, reproduce, and distribute such content on the platform for the purposes of facilitating sourcing activities.
You agree not to use the SDS Pharma brand, logo, or platform name in any external marketing, communication, or publication without explicit prior written consent from SDS Pharma.
Limitation of Liability
To the maximum extent permitted by applicable law, SDS Pharma Sourcing, its team, and representatives shall not be liable for:
- Any direct, indirect, incidental, or consequential loss arising from transactions conducted between buyers and sellers through or as a result of the platform.
- Loss arising from reliance on seller-submitted product information, certifications, or documentation.
- Quality defects, regulatory non-compliance, or product recalls involving goods sourced through the platform.
- Loss of business, revenue, or profits resulting from platform downtime, access issues, or listing removals.
- Unauthorised access to your account resulting from failure to maintain password security.
SDS Pharma's maximum aggregate liability to any user for any claim arising under or in connection with these Terms shall not exceed the amount of any fees paid by that user to SDS Pharma in the 6 months preceding the claim (if applicable).
Account Suspension & Termination
SDS Pharma reserves the right to suspend or permanently terminate any account with or without prior notice in the following circumstances:
- Violation of any provision of these Terms of Service.
- Submission of false, fraudulent, or misleading information during registration or listing.
- Failure to maintain valid certifications or regulatory approvals required for listed products.
- Repeated failure to respond to buyer inquiries within a reasonable time.
- Engagement in any prohibited activity as described in Section 6.
- Any activity that damages the reputation or business interests of SDS Pharma or other platform users.
- Any court order or regulatory direction requiring suspension.
Upon termination, your right to access the platform ceases immediately. Pending inquiries or orders in progress at the time of termination will be handled on a case-by-case basis at SDS Pharma's discretion.
You may request account closure at any time by contacting info@sdspharma.com. Data retention post-closure is governed by our Privacy Policy.
Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Drugs and Cosmetics Act, 1940, as applicable.
Jurisdiction: Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Vadodara, Gujarat, India.
Dispute Resolution Process
- Step 1 — Direct Resolution: We encourage users to first attempt to resolve any dispute directly with SDS Pharma by contacting info@sdspharma.com. We aim to respond and resolve within 30 days.
- Step 2 — Mediation: If direct resolution fails, the parties may agree to mediation through a mutually acceptable mediator before initiating legal proceedings.
- Step 3 — Legal Proceedings: If mediation fails or is not agreed upon, either party may initiate legal proceedings in the courts of Vadodara, Gujarat.
Changes to These Terms
SDS Pharma reserves the right to modify these Terms of Service at any time to reflect changes in our services, legal requirements, or business practices. When we make material changes:
- We will update the "Last Updated" date shown at the top of this page.
- We will notify registered users via email at least 14 days before significant changes take effect.
- A notice will be displayed on the platform for 30 days following significant updates.
Your continued use of the platform after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you must stop using the platform and may request account closure.
